Terms of Service
These Terms of Service (the "Terms") govern your use of the application programming interfaces, documentation, sample files and related services (together, the "Service") operated by YOSUGA K.K. ("YOSUGA", "we", "us"). By subscribing to or calling the Service you agree to these Terms.
1. Provider

2. Marketplace and billing
The Service is offered through the RapidAPI marketplace operated by a third party. Subscriptions, API keys, usage metering, payment, invoices and refunds are handled by RapidAPI under its own terms and policies. Where these Terms and RapidAPI's terms address the same subject, RapidAPI's terms govern the marketplace relationship and these Terms govern your use of the Service itself.
Usage units (for example "Minutes" of media processed, or "Requests") are defined on each API's listing page. Failed jobs, as defined in the API documentation, are not counted against paid units.
A job is billable once it completes and its result is first returned, as defined in the API documentation. Completion means the Service produced an Output; it does not mean the Output is accurate, complete or fit for your purpose (see section 6). Units consumed by completed jobs are not refundable on grounds of Output quality, including recognition errors, mistimings, language misdetection or unsatisfactory line-breaking. If you believe a job completed with a defect caused by a fault in the Service rather than by the input audio, contact us with the job identifier within 14 days and we will review it in good faith.
3. Your account and keys
You are responsible for keeping your API keys confidential and for all activity under your keys. Notify RapidAPI and us promptly if you believe a key has been compromised.
4. Acceptable use
You may use the Service only for lawful purposes and only with content you have the right to process. In particular, you agree not to:
- submit media or text that you do not own or are not licensed to process, including content downloaded from platforms in breach of their terms;
- submit unlawful content, or content that infringes the rights of others;
- attempt to circumvent rate limits, plan limits, authentication or security controls, or to probe, scan or disrupt the Service;
- use the Service to build a product whose primary purpose is to resell the same API functionality without added value, unless we agree in writing;
- use outputs in a way that misrepresents them as verified human transcription where accuracy is critical (see section 6).
We may suspend or terminate access that we reasonably believe violates this section, and we may report unlawful activity to authorities.
5. Content and outputs
You retain all rights to the media, text and metadata you submit ("Input") and to the transcripts, captions, cut lists and rendered files the Service returns ("Output"). You grant us the limited right to process Input and store Output solely to provide the Service, as described in our Privacy Policy. We retain all rights in the Service, its documentation, presets, sample media and software.
6. Nature of the Service; no warranty of accuracy
Transcription, language detection, line-breaking and cut-candidate detection are produced automatically by machine-learning models and heuristics. Output may contain errors, omissions or mistimings, and quality varies by language, audio conditions and content. Languages marked as "beta" are provided without accuracy commitments. You are responsible for reviewing Output before relying on it, and the Service must not be used where errors could lead to injury, legal liability or other serious harm (for example medical, legal or emergency use) without independent human verification. Accuracy limitations do not affect billing: see section 2.
7. Availability and changes
We aim to keep the Service available and performant but do not guarantee uninterrupted or error-free operation, and no service level agreement applies unless agreed in writing. We may change, add or discontinue features, presets, models, limits or plans. Material changes that reduce functionality on paid plans will be announced on the API's listing page or by email through RapidAPI with reasonable notice where practicable.
8. Data handling
Input media is deleted when processing finishes; Output is retained for a limited period and then deleted; audio is sent to third-party speech models for processing. The details, including sub-processors and retention periods, are set out in the Privacy Policy, which forms part of these Terms.
9. Third-party services and upstream capacity
The Service depends on third-party infrastructure and machine-learning providers, including cloud hosting, storage and speech recognition. Their capacity is shared with other customers and is not under our control. In particular:
- When an upstream speech provider is rate-limited or temporarily unavailable, jobs are held and retried automatically rather than failed. Such jobs may take considerably longer than usual (typically up to about 45 minutes) and carry a warning in their status response. Delays of this kind are not a defect and do not entitle you to compensation.
- If a job still cannot be processed after retries, it is returned as failed and is not billed.
- To keep the Service running during an upstream outage we may route a job to an alternative speech backend. Output produced this way may differ in character (for example a verbatim rather than cleaned transcript, or vocabulary hints not applied). The backend used is identified in the job's metadata so you can decide whether to reprocess later.
We will make reasonable efforts to mitigate third-party outages, but we are not responsible for delays, failures or changes caused by third parties.
10. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, YOSUGA will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising out of or related to the Service. YOSUGA's total liability for all claims arising out of or related to the Service in any twelve-month period will not exceed the amount you paid for the Service through RapidAPI in the three months before the event giving rise to the claim, or ten thousand Japanese yen, whichever is greater. Nothing in these Terms limits liability for wilful misconduct or gross negligence, or any liability that cannot be limited under applicable law.
12. Indemnity
You will defend and indemnify YOSUGA against claims, damages and reasonable costs arising from Input you submit, your use of Output, or your breach of these Terms.
13. Termination
You may stop using the Service at any time by cancelling your subscription on RapidAPI. We may suspend or terminate your access for breach of these Terms, for legal reasons, or if the Service is discontinued. Sections 5, 6, 10 to 12 and 14 survive termination.
14. Governing law and jurisdiction
These Terms are governed by the laws of Japan, without regard to conflict-of-law rules. The Kyoto District Court has exclusive jurisdiction in the first instance over any dispute arising out of or related to these Terms or the Service, subject to any mandatory consumer-protection rules that apply to you.
15. Changes to these Terms
We may update these Terms from time to time. The effective date at the top shows the current version. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
